Please read these Terms and Conditions of Service (hereinafter referred to as the "Terms") carefully before using the platform. https://app.totalchat.net (hereinafter, the "Service," the "Site," or the "Platform"), commercially operated by ArkoStudio LLC (hereinafter, "we," "our," or "the Company").

By accessing, registering, viewing, or interacting with this Site, any banner, pop-up, or advertisement contained therein, you declare that you have full legal authority to bind yourself or any third party or company you represent, expressly accepting all of these Terms, as well as our Privacy Policy.

1. Nature of the Service and External Infrastructure

  • Distribution and Support: TotalChat is a cloud-based software platform for omnichannel messaging management, automation, and assistance through Artificial Intelligence (AI). ArkoStudio LLC markets, distributes, and provides commercial assistance and technical support for the visual interface of the Service.

  • Third-Party Hosting and Connectivity: The user agrees and acknowledges that the Service operates on a technological architecture, backend, and servers provided externally by a specialized infrastructure partner, and that it relies on direct connectivity with the official APIs of companies such as Google LLC and Meta Platforms, Inc. ArkoStudio LLC does not own, control, or physically store the backend software databases in local or physical development environments of its offices.

2. Access Restrictions and Legal Capacity

  • Age Restriction: This Site specifically denies access to any individual covered by the Children's Online Privacy Protection Act (COPPA) of 1998 or who is a minor in their jurisdiction of residence. By using the Site, you warrant that you have the legal capacity to enter into this agreement..

  • Right of Admission: We reserve the exclusive right to deny, restrict, or block access (including blocking IP addresses) to any person, user, or viewer for any legal reason and at our sole discretion, without the need for prior justification.

3. Intellectual Property and Prohibition of Unauthorized Use

  • Ownership: Unless otherwise stated, all source code, databases, functionalities, designs, interfaces, texts, graphics, logos, and trademarks contained on the Site are our property, are under our control, or have been legitimately licensed to us, and are protected by copyright laws and international conventions.

  • Prohibition of Hyperlinks and Framing ("Framing"): It is strictly prohibited to create hyperlinks to this Site, use shared trademarks, logos, or commercial references to our URL in any commercial or non-commercial medium without our express written authorization. Framing the Site or any part of it is also not allowed. The user agrees to cooperate in immediately disabling such activities and to be liable for any damages resulting from their non-compliance.

User Accounts and Contributions

  • Account Security: By registering, you agree to keep your password confidential and will be solely responsible for all use and activity under your account. We reserve the right to delete, claim, or modify any username if we determine it to be inappropriate or obscene.

  • Submissions and Contributions: Any communication, suggestion, graphic, or information sent by the visitor to the Site (excluding personal data strictly protected by the Privacy Policy) will be considered a non-confidential contribution. Such contributions will become the property of the Platform and may be used for commercial purposes or system improvement without requiring additional authorization or compensation.

5. Payment Terms, Subscriptions, and Renewals

  • Subscription Model: Access to TotalChat services is governed by a recurring subscription model (monthly or annual). The current rates correspond to the plans published on the official website or agreed upon through individual commercial quotes.

  • Payment Gateways: Payments are processed externally, decentralized, and encrypted through authorized electronic gateways (such as PayPal). The Company does not store or handle credit card data.

  • Non-Payment and Suspension: Non-payment or delay in recurring billing will allow ArkoStudio LLC to temporarily suspend access to the Platform immediately, halting active automation flows and the connection with messaging channels.

  • No Refund Policy: Due to the immediate allocation of technical resources in the external cloud infrastructure and the SaaS (Software as a Service) model, no partial or total refunds will be made for already billed periods, activated connection gateways, or unused fractions of a month.

6. Acceptable Use and Third-Party Channel Policies (Meta and Google)

  • Compliance with Meta Policies: When connecting channels of WhatsApp Business, Instagram Graph API, or Facebook Messenger, the user agrees to strictly comply with the WhatsApp Business Policies, the Meta Developer Terms and any applicable regulations of Meta Platforms, Inc.

  • Compliance with Google Policies: When using the integration features with Google Sheets or Google Drive for data storage or AI training, the user guarantees compliance with the terms of service of Google LLC.

  • Spam and Bad Practices Prohibition: The sending of unsolicited mass messages (Spam), the dissemination of content that violates third-party rights, or the execution of criminal activities using the Platform is strictly prohibited.

  • Responsibility for External Blocks: The user acknowledges and agrees that the blocking, banning, loss of phone number, or suspension of any line or social media account by Meta, Google, or any external provider due to practices that violate their policies is the sole responsibility of the customer. ArkoStudio LLC will not provide refunds, compensation, or support for account recovery in these cases.

7. Exclusion of Warranties and Disclaimer

  • "As Is" Service: The Platform and all its integrations are provided "AS IS" and "AS AVAILABLE". We do not guarantee that the service will be uninterrupted or free of errors resulting from fluctuations in third-party APIs.

  • Brand Independence: TotalChat is a platform developed and integrated independently by ArkoStudio LLC. This Site and its service are not part of, are not associated with, nor do they have the official endorsement or sponsorship of Meta Platforms, Inc., Google LLC, Telegram Messenger Inc., or any of their affiliates.

  • Optimization Tools: The Site uses conversion pixels and remarketing cookies in accordance with our Privacy Policy to optimize future communication with visitors.

  • Disclaimer for Malicious Code: We assume no responsibility for damage to computer equipment, data loss, or software corruption of the visitor caused by data transmission, viruses, or malicious code introduced by third parties beyond our control during browsing on the network.

8. Maximum Liability Limitation and Indemnification

  • Waiver of Damages: By interacting with this Site and Software, the visitor and user permanently waives claims for damages of any kind (including lost profits, loss of customers, commercial, personal, or emotional damage, foreseeable or unforeseeable) arising from the use or inability to use the Platform.

  • Disclaimer for APIs and External Providers: ArkoStudio LLC is not responsible under any circumstances for operational changes, increases in token consumption fees, technical restrictions, or global infrastructure outages unilaterally imposed by Meta Platforms Inc., Google LLC, providers of Artificial Intelligence models (LLMs), or the backend technology partner.

  • Maximum Liability: In those jurisdictions where complete liability exclusions are not permitted, the maximum liability of the Company shall not exceed the total amount paid by the user to ArkoStudio LLC during the current monthly period of the contracted service.

  • Force Majeure: We will not be liable for failures related to issues beyond our reasonable control, including force majeure, natural disasters, global telecommunications network outages, massive hacks on cloud infrastructures, strikes, or government regulations.

  • Indemnification: The user agrees to defend, indemnify, and hold ArkoStudio LLC, its executives, and collaborators harmless against claims, costs, fines, or lawsuits from third parties arising from the misuse of the Platform or from the breach of these Terms.

9. Term, Termination, and Waiver of Notices

  • Validity: These Terms will remain in full force while you use or maintain an active account on the Site.

  • Cancellation for Breach: We may suspend or cancel your account and restrict your access permanently at any time, without prior notice and at our sole discretion, if we detect violations of these Terms or abusive business conduct. If your account is canceled for breach, you are strictly prohibited from registering under a new, false name or through a third party.

  • Waiver of Notices: The user agrees that no prior notice of any kind is necessary for urgent operational modifications, preventive security blocks, or service suspensions based on the protection of the Platform's infrastructure.

10. Modifications of the Terms and Jurisdiction

  • Updates: We reserve the right to modify these Terms at any time. It is the user's obligation to review this page periodically to stay informed. Continued use of the Platform after the publication of changes constitutes express acceptance of the modifications.

  • Applicable Law and Jurisdiction: These Terms are governed by and interpreted under the laws applicable to the legal domicile of ArkoStudio LLC. Any dispute, controversy, or legal claim arising from this agreement shall be exclusively submitted to the competent courts of that jurisdiction.
